These terms and conditions of use (“Terms of Use”) constitute a legally binding agreement made between SOMELI MARKETING & TECHNOLOGY LTD, a company incorporated and registered in the Dubai International Financial Centre, United Arab Emirates with company number 4971 (“Someli”, “we”, “us” or “our”) and you (“you” or “your”), and govern your use of the website located at https://www.someli.aiand any related services provided by SOMELI MARKETING & TECHNOLOGY LTD (the “Services”).

Someli provides AI-powered tools that assist with content creation, scheduling, automation, analytics, and related social-media management features. The Services may evolve over time, and Someli AI reserves the right to update, modify, or discontinue any part of the Services at any time, with or without notice.

By accessing https://www.someli.ai, you agree to abide by these Terms of Use and to comply with all applicable laws and regulations.

IF YOU DO NOT AGREE WITH ANY OF THESE TERMS OF USE, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING OR ACCESSING THE SITE OR FROM USING ANY OTHER RELATED SERVICES PROVIDED BY SOMELI MARKETING & TECHNOLOGY LTD, AND YOU MUST DISCONTINUE USE IMMEDIATELY.

Amendments to Terms

We reserve the right to review and amend any of these Terms of Use at our sole discretion. We will alert you about changes by updating the “Last Revised” date. It is your responsibility to periodically review these Terms of Use to stay informed. Any changes will take effect immediately from the date of publication.

1. Services Overview and AI Functionality

1.1 AI Generation and Client Approval: Our Services utilize Large Language Models (LLMs) to generate content drafts based on proprietary data and prompts provided by the Client. The Client retains ultimate control and responsibility for all published content. All posts must be reviewed, edited, and explicitly approved by the Client before publishing.

1.2 AI is Probabilistic: The Client acknowledges that AI Services are based on statistical modeling and are probabilistic, not deterministic. Outputs may, at times, contain errors, inaccuracies, or content that does not align with your specific expectations.

2. Eligibility, Jurisdiction, and User Representation

2.1 Jurisdiction and Access

The information provided on the Site is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation.

2.2 Minimum Age and Legal Capacity

This Site and Services are available only to users who can form legally binding contracts under applicable law.

  • You represent and warrant that you are not under the age of 18.
  • If you are a minor in your jurisdiction, you must have the permission of, and be directly supervised by, your parent or guardian who must read and agree to these Terms of Use prior to you using the Site.

2.3 User Representation and Unique Account

By using the Site, you represent and warrant that:

  • All information you provide during registration is true, accurate, current, and complete.
  • You will promptly update such registration information as necessary.
  • You shall not access the Site through automated or non-human means (bot, script, etc.).
  • Your use of the Site shall not violate any applicable law or regulation.

Unique Account: Each person must have a unique Someli account. You are responsible for any activity conducted on your account. You may not allow any other party to access or use Someli with your unique username, password, or other security code.

3. Intellectual Property (IP) and Ownership

3.1 Someli Ownership (The Services)

The intellectual property (including all source code, databases, functionality, software, designs, and graphics, collectively, the “Content”) and the trademarks, service marks, and logos (“Marks”) contained in the Site are owned or controlled by us or licensed to us, and are protected by international copyright and trademark laws.

Someli retains all ownership rights, including Intellectual Property Rights, in and to: (a) The Services, the underlying proprietary software, code, algorithms, interface, and platform technology; and (b) Someli IP.

3.2 Client Ownership (Inputs and Outputs)

As between Someli and the Client, the Client retains all ownership rights, including Intellectual Property Rights, in and to: (a) Client Materials (All data, information, and proprietary knowledge uploaded to the platform); and (b) Generated Content (The final content created by the Client using the Services and approved for publication).

3.3 License Grant

We grant you a non-exclusive, limited, non-transferable, freely revocable license to access and use Someli for business or personal use, solely to the extent necessary to utilize the Services. This constitutes the grant of a license, not a transfer of title.

3.4 User Content

You retain all ownership rights in and to your “User Content”. You grant Someli a royalty-free license to display, host, copy, and use your User Content solely to the extent necessary to provide the Service to you.

3.5 Trademarks

Someli and any other product or service name or slogan contained in the Site are trademarks of SOMELI MARKETING & TECHNOLOGY LTD, and may not be copied, imitated or used, in whole or in part, without our prior written permission.

4. Restrictions on Use and Client Obligations

4.1 Limitations of Use (Prohibited Activities)

You shall not, and shall not permit any third party to:

  • Copy, replicate, decompile, reverse-engineer, attempt to derive the source code of, modify, or create derivative works of Someli, or any part thereof.
  • Rent, lease, sell, distribute, or sublicense the Services or Content to any third party.
  • Use any form of data mining, extraction, or scraping on Someli and/or the contents for machine learning or other purposes.
  • Use the Services to transmit unsolicited emails, spam, or any harassing, indecent, fraudulent, or unlawful material.
  • Access Someli for purposes of performance benchmarking or building or marketing a competitive product.
  • Use Someli to store or transmit a virus or malicious code.
  • Use a virtual private network (VPN) to circumvent geographic-based pricing or content access.
  • Bypass the measures we may use to prevent or restrict access to Someli.

4.2 Content Vetting (Client Obligation)

The Client acknowledges that it is solely responsible for vetting all AI-generated content for:

  • Accuracy, legality, and factual correctness.
  • Compliance with third-party intellectual property rights (including copyrights and trademarks).
  • Absence of bias, defamation, or content that violates civil rights or anti-discrimination laws.

YOU SHOULD ONLY APPROVE PUBLICATION AND POSTING UPON FULL AND THOROUGH REVIEW AND RESEARCH OF THOSE MATERIALS.

4.3 AI Usage and Sensitive Data

You are solely responsible for all content you input into our AI products. You agree not to input any sensitive personal data, such as: racial or ethnic origin, political opinions, religious or philosophical beliefs, trade union membership, health data, or data concerning your sex life or sexual orientation.

5. Data Protection and AI Governance

5.1 Data Processing Role: Someli acts as a Data Processor operating under the instructions of the Client (the Data Controller). Our data processing activities are governed by the separate Data Processing Agreement (DPA) and Privacy Policy.

5.2 DIFC Regulation 10 Compliance: Someli operates in compliance with DIFC Regulation 10 on Autonomous Systems, maintaining records of processing, conducting Data Protection Impact Assessments (DPIAs), and implementing security measures beyond general privacy laws.

5.3 Linked Websites, Social Accounts, & Third Parties: Someli provides tools to link your account with third-party services (LinkedIn, META, etc.). By using these tools, you authorize the transfer of information. Third-party services are not under Someli's control, and Someli, to the fullest extent permitted by law, is not responsible for their content or their use of your exported information.

5.4 Our website and the materials on our website are provided on an ‘as is’ basis. To the extent permitted by law, SOMELI MARKETING & TECHNOLOGY LTD makes no warranties, expressed or implied.

6. Fees, Payment, and Cancellation

6.1 Fees and Payment

You agree to pay all charges or fees at the prices then in effect for your purchases, and you authorize us to charge your chosen payment provider. If your purchase is subject to recurring charges, you consent to recurring billing until you notify us of cancellation.

6.2 Cancellation

You may cancel your Someli subscription at any time by logging into your account. Upon cancellation, your subscription will be terminated at the end of your current billing cycle. No refunds will be provided for any unused days within that cycle.

6.3 Free Trial

If you are offered a free trial, you will be automatically charged after the trial period ends unless you manually cancel your subscription before the trial period ends.

7. Warranties, Disclaimers, and Indemnification

7.1 AI Disclaimer and Service Warranty

  • AI Disclaimer: THE SERVICES AND ALL AI-GENERATED OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” Someli specifically disclaims all implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
  • Limited Warranty: Someli warrants only that the Services will perform substantially in accordance with the documentation.

7.2 Mutual Indemnification (IP and Content)

  • Someli Indemnification (IP): Someli shall indemnify, defend, and hold harmless the Client against any third-party claim that the core Someli Service Software infringes upon any third party's intellectual property rights.
  • Client Indemnification (Content & Use): The Client shall indemnify, defend, and hold harmless Someli from any third-party claim arising from: (a) the Client's use, publication, or modification of AI-generated content; (b) the Client's breach of the Limitations of Use; or (c) any claim related to the Client Materials or data provided to Someli.

7.3 Limit of Liability

  • General Cap: EXCEPT FOR CLAIMS ARISING FROM WILLFUL MISCONDUCT, GROSS NEGLIGENCE, OR FRAUD, the total aggregate liability of Someli to the Client arising out of this Agreement shall be limited to the total fees paid by the Client in the twelve (12) months preceding the event or occurrence giving rise to such liability.
  • Exclusion of Damages: In no event shall either party be liable for any consequential, incidental, indirect, special, exemplary, or punitive damages.

8. Termination and Miscellaneous

8.1 Right to Terminate

We reserve the right to deny access to and use of the Services to any person if we reasonably consider that such person is in breach of these Terms of Use. If we terminate or suspend your account, you are prohibited from creating a new account.

8.2 Governing Law and Dispute Resolution

You agree that these Terms of Use will be governed by the laws of the Dubai International Financial Centre (“DIFC”), Dubai, United Arab Emirates. You irrevocably consent that the DIFC Courts shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these terms. Any claim must be brought within one (1) year after the cause of action arises.

8.3 Severance

Any term of these Terms of Use which is wholly or partially void or unenforceable is severed to the extent that it is void or unenforceable. The validity of the remainder of these Terms of Use is not affected.

8.4 Independent Relationship

Nothing in these Terms shall be construed as constituting the parties as principal and agent, employer and employee, partners or joint venturers.

8.5 Force Majeure

Neither party will be responsible for any failure or delay in its performance due to causes beyond its reasonable control (“Force Majeure”), including but not limited to acts of God, war, terrorism, riots, disease, power outages, or labor disputes.

8.6 Corrections

There may be information on the site that contains typographical errors, inaccuracies, or omissions. We reserve the right to correct any errors, inaccuracies, or omissions and to change or update the information on the Site at any time, without prior notice.
